Fox acquires Roku in $22 billion cash-and-stock deal

Fox Corp. has announced its acquisition of streaming platform Roku in a cash-and-stock deal valued at approximately $22 billion, including debt. This transaction will grant Fox access to the Roku channel and its extensive first-party data, along with over 100 million global streaming households. Following the deal, Roku will operate as an open platform, and the combined entity is projected to become the third-largest player in U.S. television by viewing share. Fox will offer $96 in cash and 0.9693 shares of its Class A common stock for each Roku Class A and Class B share, valuing the deal at $160 per share. Once the acquisition is finalized, Fox shareholders are expected to own about 73% of the combined company, while Roku shareholders will hold approximately 27%. The deal is anticipated to close in the first half of next year, pending approval from shareholders and regulatory authorities.

Why It Matters

This acquisition marks a significant consolidation in the media and streaming landscape, as Fox aims to strengthen its position against competitors in the evolving digital content distribution market. Roku, known for its user-friendly platform, has over 100 million active accounts, making it a valuable asset for Fox’s expansion into streaming and digital advertising. Historically, the media industry has seen a trend toward mergers and acquisitions as companies strive to diversify their content offerings and enhance viewer engagement. With traditional television viewership declining, Fox’s acquisition of Roku highlights the ongoing shift toward streaming services as a primary source of entertainment for consumers.
